1. Introduction

Welcome to CommitAI Inc. ("CommitAI", "we", "us", or "our"). These Terms of Use ("Terms") govern your access to and use of our mobile application (the "App"), website, and any associated services (collectively, the "Services"). By creating an account, using the Services, or otherwise accessing the App, you agree to be bound by these Terms. If you do not agree, you must not access or use the Services.

2. Eligibility

You must be at least 13 years old to create an account. If you are under 18, you must have permission from a parent or legal guardian who agrees to these Terms on your behalf.

By registering and using the Services, you represent and warrant that you are legally capable of forming a binding contract and meet the eligibility requirements.

3. Account Registration & Responsibilities

• You agree to provide true, accurate, current and complete information about yourself as requested by the registration form.
• You are responsible for safeguarding your username and password, and you agree not to disclose your credentials to any third party. You accept responsibility for all activities that occur under your account.
• You must notify us immediately of any unauthorized use of your account or any other breach of security.

4. Use of the Services

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Services.

You agree to use the Services in accordance with all applicable laws, regulations, and these Terms.

You may not:

• Use the Services for any unlawful purpose or in furtherance of illegal activities.
• Reverse-engineer, decompile or attempt to derive the source code of the App.
• Circumvent any technical protection measures or content filtering.
• Use bots, scripts, automation or other means to post content, manipulate challenges, or otherwise disrupt normal functioning.

5. User-Generated Content (UGC) and Licenses

The Services include the ability to upload, post, share, and otherwise make available user-generated content ("UGC") such as fitness videos, challenge check-ins, photographs, comments, and other contributions.

You retain ownership of the UGC you post. By posting UGC, you grant CommitAI a worldwide, non-exclusive, royalty-free, sublicensable and transferable license to use, reproduce, distribute, display, adapt, and otherwise exploit the UGC for purposes of operating, promoting and improving the Services.

You confirm you have all rights necessary to grant the license and that your UGC does not infringe any law, regulation, or third-party rights.

6. Prohibited Content & Conduct

Zero-Tolerance Policy for Harmful Content

We maintain a zero-tolerance policy toward the creation, posting, streaming, or sharing of hate speech, harassment, sexually explicit, pornographic, or obscene content on the platform.

Users are strictly prohibited from posting or transmitting content that:

• Promotes hatred, discrimination, or violence against individuals or groups based on race, ethnicity, religion, gender, sexual orientation, disability, or any protected characteristic
• Contains nudity, sexual acts, sexually explicit material, or pornographic content
• Is abusive, threatening, defamatory, or otherwise offensive
• Harasses, bullies, intimidates, or discriminates against others based on race, ethnicity, religion, gender, gender identity, sexual orientation, disability, or other protected characteristic
• Encourages self-harm, harmful weight-loss regimes, extreme or dangerous fitness practices
• Violates privacy, confidentiality or publicity rights of any person
• Is fraudulent, misleading, deceptive or constitutes spam
• Violates intellectual property rights of third parties
• Promotes violence, terrorism, illicit behaviour or illegal goods/services
• Involves collection of personal data about other users without consent

7. Moderation, Reporting & Removal

• We reserve the right — but are not obligated — to monitor, review, remove or refuse any UGC or suspend accounts that violate these Terms or pose risk to other users or the Services.
• Users can report UGC or other users via in-App mechanisms. We will follow our moderation policy in processing reports.
• You understand that we may remove or block access to content without notice and we are not liable for decisions to moderate at our discretion.

8. Subscription, Payments & Fees

• Certain features of the Services may require payment of fees or subscription. Terms of payment will be separately disclosed at the time of purchase.
• All fees are non-refundable unless mandated by applicable law.
• We reserve the right to change fee structure, but will provide notice in advance of changes.

9. Intellectual Property Rights

• All rights, title and interest in and to the Services (including the App, website, technology, trademarks, logos, graphics and other materials) are owned by CommitAI or its licensors.
• Except for the limited license granted in Section 4, you have no rights in the Services.
• You may not copy, modify, distribute, sell, lease or create derivative works of the Services or any portion thereof.

10. Disclaimers & Limitation of Liability

The Services are provided "as is" and "as available" without warranties of any kind, whether express, implied or statutory. To the maximum extent permitted by law, CommitAI disclaims all warranties including fitness for a particular purpose, non-infringement, accuracy, reliability, availability and security.

You assume all risk in connection with your use of the Services. CommitAI is not responsible for injuries, losses or damages arising out of your participation in fitness challenges, your use of user content, or interactions with other users.

In no event shall CommitAI or its affiliates be liable for any indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, data or goodwill arising out of or in connection with your use of the Services, even if advised of the possibility of such damage.

11. Indemnification

You agree to defend, indemnify and hold harmless CommitAI, its officers, directors, employees and agents from and against any and all claims, liabilities, damages, losses or expenses (including attorneys' fees) arising from your breach of these Terms, your UGC, your violation of third-party rights or your use of the Services in violation of law.

12. Termination & Suspension

• We may suspend or terminate your access to the Services, with or without notice, if you breach these Terms or we determine your conduct may harm the Services or other users.
• Upon termination, your license to use the Services ends, and we may immediately delete or disable your account and UGC at our discretion.
• Termination does not affect rights or obligations accrued before termination.

13. Governing Law & Dispute Resolution

• These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, USA, excluding conflict-of-law principles that might apply a different jurisdiction.
• You agree that any dispute, claim or controversy arising out of or relating to these Terms, the Services or your use thereof shall be resolved by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules.
• If the arbitration clause is found unenforceable, you agree to submit to the exclusive jurisdiction of the state or federal courts located in San Francisco County, California.

14. Changes to Terms

• We may modify these Terms at any time and will update the "Last Updated" date above. We will provide notice of material changes via the App or by email.
• Your continued use of the Services after modifications constitutes acceptance of the revised Terms.
• If you do not agree to the modifications, you must stop using the Services.

This Privacy Policy explains how we collect, use, disclose, and safeguard personal information when you use our mobile applications, websites, and related services (the "Services"). By using the Services, you agree to this Policy. If you do not agree, please do not use the Services.

We may update this Policy from time to time. If we make material changes, we will notify you via the app, our website, or email. Your continued use of the Services after an update constitutes acceptance.

1. Scope & Roles

• Controller: For most processing, CommitAI, Inc. is the "controller" (GDPR/UK GDPR).
• Processor: For limited programs (e.g., a corporate wellness deployment), we may act as a processor/service provider under a separate data processing agreement.
• Jurisdiction for State Laws: For U.S. state privacy laws, our business is organized and governed under the laws of the State of Delaware, USA.

2. What We Collect

We collect information (A) that you provide, (B) automatically when you use the Services, and (C) from third parties you authorize.

A. Information You Provide

• Account & Profile: name, display name/handle, email, phone (optional), age/age-gate confirmation (18+), photo/avatar, biography, location, preferred units.
• Credentials & Authentication: password or passkey; when using Sign in with Apple/Google, we receive tokens (not your third-party passwords).
• User-Generated Content (UGC): posts, captions, comments, likes, messages, and media you upload in the workout flow or feed.
• Workout & Challenge Details: selected workout type, goals, repetitions, durations, targets, challenge terms, outcomes, leaderboards.
• Special Categories / Sensitive Data (subject to explicit consent): health and fitness information, and motion/camera sensor data captured only within the workout post/recording flow.
• Support & Communications: emails, forms, in-app reports, feedback, bug reports.
• Transactions: purchase history, in-app purchases, rewards/wallet balances, redemptions. Payment card data is processed by our payment providers; we do not store full card numbers.

B. Information Collected Automatically

• Usage & Device Data: app version, device model, OS/version, language, time zone, unique device identifiers, crash logs, diagnostics, referral/UTM data.
• Interaction Data: screens viewed, buttons tapped, session duration, feature usage, links clicked.
• Location: coarse location (country/region) from IP; precise/approximate device location only if you grant permission.
• Cookies/SDKs: on our website and in-app for essential functions, analytics, fraud prevention, and—only with consent where required—marketing attribution.

C. Information from Third Parties (You Authorize)

• Health & Fitness Sources: Apple HealthKit, Google Health Connect/Fit, or wearables only if you connect them.
• Single Sign-On: Apple/Google to create an account or import profile details.
• Payments & Anti-Fraud: app stores/payment processors, fraud prevention providers, and platform vendors.
• Program Partners: e.g., university or corporate wellness programs, only if you enroll and as contractually limited.

3. Health, Motion & Camera Data (Consent-First)

• Consent: We ask for and require your consent before accessing or processing health data, motion/camera data, precise location, microphone, or other sensitive device features. You can withdraw consent at any time in device or in-app settings.
• Workout Scope: Motion/camera detection is limited to the workout post/recording flow and is off elsewhere in the app.
• Processing Location: We aim to process pose/motion on-device where feasible. If cloud processing is used, data is transmitted securely and minimized.
• HealthKit/Health Connect: Data is used solely to provide or improve health features in the app and not for advertising or third-party marketing. We do not sell HealthKit/Health Connect data.

4. Why We Use Information

• Provide & Operate: account creation, workouts, challenges, motion/rep detection, leaderboards, social/community features, notifications.
• Personalize & Improve: recommendations, form tips, feature development, accessibility, A/B testing.
• Safety, Integrity & Moderation: detect spam/abuse, cheating, prohibited content, fraudulent transactions.
• Payments & Rewards: process IAP, wallet funding, redemptions/payouts, receipts, and tax reporting as required.
• Communications: transactional messages; marketing communications only with consent or as permitted by law.
• Legal/Compliance: age gating (18+), responding to lawful requests, regulatory obligations.
• With Your Consent: for sensitive data, precise location, marketing/attribution SDKs, or any processing that legally requires consent.

5. Legal Bases (EEA/UK)

Where GDPR/UK GDPR applies, we rely on: contract necessity, legitimate interests (e.g., security, limited analytics), consent (for special category/sensitive data, device permissions, and marketing), and legal obligation (e.g., tax, accounting). You may withdraw consent at any time.

6. How We Share Information

We do not sell personal information. We share with:

• Service Providers/Processors: hosting, analytics, crash reporting, support, content moderation, security/anti-fraud, email/push delivery, payment processing—contractually limited to our instructions.
• Health Integrations: HealthKit/Health Connect data is not used for advertising and not shared for third-party marketing.
• Public Content: UGC you choose to make public is visible per your settings.
• Program Partners: if you join a university/corporate program, we may share minimal necessary data as directed and with consent where required.
• Legal & Safety: to comply with law, enforce our terms, protect users/platform/public, or address fraud/security.
• Business Transfers: in a merger, acquisition, or asset sale, data may transfer subject to equivalent protections.

7. International Data Transfers

We are U.S.-based (Delaware). We may transfer data internationally. Where required (e.g., EEA/UK), we use appropriate safeguards (e.g., Standard Contractual Clauses) and supplementary measures.

8. Retention

• Account Data: while your account is active.
• UGC: until you delete it or your account, subject to backups and lawful needs.
• Health/Motion Data: minimized and retained only for feature functionality and integrity checks.
• Legal/Finance: for statutory periods (e.g., tax/transaction records).

When no longer needed, we delete or de-identify data.

We use administrative, technical, and physical safeguards (e.g., encryption in transit, access controls, least-privilege). No system is 100% secure. Please protect your credentials and keep your device/OS updated.

10. Your Rights & Choices

• Access, Correction, Deletion, Portability.
• Consent Management: enable/disable camera, microphone, motion sensors, notifications, precise location, HealthKit/Health Connect; withdraw consent in settings.
• Marketing Opt-Out: unsubscribe in emails; disable marketing notifications in-app.
• Do Not Sell/Share (U.S. state laws): we do not sell personal information.

11. Children's Privacy

The Services are intended only for users 18+. We do not knowingly collect personal information from anyone under 18. If you believe such data was provided to us, contact contact@letscomo.com and we will delete it.

12. UGC, Community Safety & Moderation

• You control what you post; visibility depends on your settings.
• We may moderate/remove content that violates our guidelines or law.
• Motion/camera detection is limited to the workout flow.
• We use automated tools (including AI) and human review to detect spam, cheating, fraud, or prohibited content. You can appeal moderation decisions via support.

13. AI, Profiling & Automated Decision-Making

We use algorithmic systems (some AI/ML-based) to detect motion/reps, personalize content, flag anomalies, and protect integrity. Where required, we will provide meaningful information about logic involved and offer avenues for human review.

14. Cookies, Mobile Identifiers & Similar Technologies

• Essential: login, security, payments, core functionality.
• Analytics/Performance: crash logs, aggregated metrics.
• Marketing/Attribution: only with consent where required.

Manage preferences via browser, OS-level settings, and any in-app controls. We honor Global Privacy Control (GPC) where applicable.

15. Device Permissions & Platform Rules

Depending on your settings, the app may request: camera and microphone (workout recording), motion sensors/accelerometer/gyroscope, HealthKit/Health Connect, notifications, and precise/approximate location (optional). We request your permission first and explain why access is needed.

Apple HealthKit / Google Health Connect data is used only to provide health features, is not used for advertising, and is not sold.

16. Payments, Wallets & Rewards

• Payments: processed by app stores and/or third-party processors; we receive limited transaction metadata. We do not store full card numbers.
• Wallets/Rewards: balances/redemptions recorded in our systems. Identity verification may be required for anti-fraud/AML depending on jurisdiction and payout method.

Third-party sites/SDKs are governed by their policies. Review them carefully.

18. U.S. State Law Disclosures

CommitAI, Inc. is a Delaware corporation. California (CCPA/CPRA) categories collected include: identifiers (name, email, device IDs), commercial information (purchases), internet/usage data, geolocation (approximate), audio/visual UGC, inferences for personalization, and sensitive data (health/fitness) with consent. We do not sell personal information. Rights include: access, correct, delete, portability, and limit use/disclosure of sensitive information.

VA/CO/CT/UT: we process sensitive data (health/fitness) only with your consent and for stated purposes. You may appeal a rights request by emailing contact@letscomo.com with "APPEAL" in the subject.

19. Data Minimization & De-Identification

We collect what we need for stated purposes, prefer privacy-preserving methods (e.g., on-device processing), and may de-identify/aggregate data for analytics. We will not attempt to re-identify de-identified data and require the same of our processors.

We may access, preserve, and disclose information when reasonably necessary to comply with law, enforce our terms, protect users or our Services, or address fraud/security.
